Terms of Service

Welcome to KAIROS. These Terms of Service govern your use of our website and creative services. By engaging with our studio or using this website, you agree to these terms.

1. Services

KAIROS provides creative direction, commercial photography, filmmaking, visual storytelling, and related creative production services for businesses, brands, artists, and organisations.

The scope of work, deliverables, production schedule, licensing, and fees for each project will be outlined in a separate proposal or production agreement before work begins.

2. Project Proposals & Agreements

Every project begins with a written proposal outlining:

  • Scope of work

  • Deliverables

  • Production schedule

  • Pricing and payment terms

  • Revision rounds

  • Usage and licensing rights

Once accepted by both parties, the proposal becomes a binding agreement between you and KAIROS.

3. Payment Terms

Deposit

Most projects require a 50% non-refundable deposit before pre-production begins. The remaining balance is due according to the payment schedule outlined in your agreement.

Payment Methods

Payments may be made via bank transfer, Stripe, or other mutually agreed payment methods.

Late Payments

Invoices not settled within 30 days of the due date may incur a late fee of 1.5% per month or the maximum amount permitted by applicable law.

Cancellations & Refunds

Deposits become non-refundable once planning or production has commenced. If a project is cancelled after work has begun, payment will be required for all work completed up to the cancellation date.

4. Client Responsibilities

To ensure a successful collaboration, you agree to:

  • Provide timely feedback and approvals

  • Supply required information, locations, or access when applicable

  • Attend scheduled production days when necessary

  • Make payments according to the agreed schedule

Delays caused by missing approvals or unavailable resources may require adjustments to the production timeline.

5. Revisions

The number of included revision rounds will be specified in your project agreement.

Additional edits or changes beyond the agreed scope may incur additional fees.

Requests that significantly alter the approved creative direction may require a revised quotation.

6. Intellectual Property

Ownership

Upon full payment, you receive ownership or licensed usage rights to the final deliverables as outlined in your agreement.

KAIROS Retains Ownership Of

  • Unused concepts

  • Draft edits

  • Raw production files (unless otherwise agreed)

  • Production processes and creative methodologies

  • Internal templates and workflows

Third-party assets such as fonts, licensed music, or stock imagery remain subject to their respective licence agreements.

Portfolio Rights

Unless agreed otherwise in writing, KAIROS reserves the right to showcase completed work across its portfolio, website, social media, presentations, and promotional materials.

7. Third-Party Services & Licensing

Some productions may involve third-party services, including:

  • Licensed music

  • Stock photography or video

  • Fonts

  • Drone operators

  • Equipment rentals

  • Studio hire

  • Hair, makeup, or styling professionals

Any additional production costs will be clearly outlined before approval.

8. Confidentiality

We respect your privacy and agree to keep confidential information private, including:

  • Unreleased campaigns

  • Product launches

  • Business information

  • Marketing plans

  • Financial information

  • Any materials identified as confidential

If required, we are happy to sign a Non-Disclosure Agreement (NDA).

9. Project Delays & Cancellations

If We Delay

Should unforeseen circumstances delay delivery, we will communicate promptly and work with you to establish a revised production schedule.

If You Delay

Project timelines may be extended when delays result from missing approvals, unavailable locations, scheduling conflicts, or incomplete client materials.

Cancellation

Either party may terminate a project by providing written notice. Outstanding work completed before cancellation remains payable.

10. Warranties

We warrant that:

  • Our original work is created by KAIROS or properly licensed.

  • We have the authority to provide the agreed services.

  • Final deliverables will align with the approved scope of work.

We cannot guarantee:

  • Specific commercial outcomes

  • Sales or revenue increases

  • Social media growth

  • Media coverage

  • Performance of third-party platforms

11. Limitation of Liability

To the fullest extent permitted by applicable law, KAIROS shall not be liable for:

  • Indirect or consequential damages

  • Loss of revenue or profits

  • Business interruption

  • Data loss

  • Claims exceeding the total amount paid for the relevant project

12. Indemnification

You agree to indemnify and hold KAIROS harmless from claims arising from:

  • Materials supplied by you that infringe third-party rights

  • Misuse of delivered assets

  • Breaches of these Terms of Service

13. Dispute Resolution

Should a dispute arise, both parties agree to first attempt resolution through good-faith discussion.

If a resolution cannot be reached, disputes will be governed under the applicable laws of the Federal Republic of Nigeria and resolved through the appropriate courts or mutually agreed alternative dispute resolution process.

14. Governing Law

These Terms of Service are governed by the laws of the Federal Republic of Nigeria.

15. Changes to These Terms

We may revise these Terms of Service periodically. The most recent version will always be available on this page with an updated revision date.

Continued use of our services constitutes acceptance of any updated terms.
